Terms and Conditions

1. Eligibility and Age Restriction

The Service is intended solely for individuals who are at least 18 years old (or the age of majority in your jurisdiction, if higher). By creating an account or using the Service, you represent and warrant that you are at least 18 years old, have the legal capacity to enter into these Terms, and are not barred from using the Service under applicable law. We do not knowingly permit use by anyone under 18. We may suspend or terminate any account upon discovery that the user is under 18.

2. User Accounts

To access certain features, you must create an account with accurate, current information. You are responsible for maintaining the confidentiality of your credentials and all activity on your account. Notify us immediately of any unauthorized use. We reserve the right to suspend or terminate accounts for any violation of these Terms.

3. User Data and Content

• Ownership: You retain ownership of data, content, or materials you upload, submit, or generate via the Service ("User Data").
• License to Us: You grant us a worldwide, non-exclusive, royalty-free license to host, store, process, reproduce, and display User Data solely to provide, maintain, support, and improve the Service.
• No Data Guarantee: We provide no guarantees as to the accuracy, completeness, reliability, security, or availability of User Data or Service outputs. Use and reliance are at your sole risk.
• Backups: We may perform routine backups but offer no guarantee of completeness, restorability, or error-free recovery. Maintain your own independent backups.
• Data Export Upon Request: Request an export of your User Data at any time via account settings or support@manysq.com. We will provide it in a standard machine-readable format (e.g., CSV, JSON) within a commercially reasonable period, typically 30 days, or sooner if required by law.
• Soft Deletion Only: Deletion requests result in soft deletion — data is marked inaccessible but retained in our systems for recovery, legal, audit, or compliance purposes. We do not perform immediate permanent (hard) deletion. Soft-deleted data may be permanently deleted after a reasonable period, typically 30–90 days, or as required by law. Contact us for current retention details.

4. Intellectual Property

The Service, software, designs, logos, and original content (excluding User Data) are owned by us or our licensors and protected by intellectual property laws. You receive a limited, revocable, non-exclusive, non-transferable license to use the Service during your active subscription term, solely for your internal business or personal use as permitted.

5. Payments, Fees, and Subscription

• Subscription Requirement: Certain features or full access require a paid subscription. Current plans, features, and pricing are displayed on our website or in the Service at signup/upgrade.
• Clear Disclosure: Before subscribing or providing payment information, we present material terms (recurring charges, frequency, amount, renewal, cancellation) clearly.
• Fees and Payment: Fees are in USD (exclusive of taxes, which you pay unless stated). We use third-party processors; you authorize recurring charges. Provide valid payment details.
• Billing and Automatic Renewal: Subscriptions renew automatically at the end of each cycle (monthly/annual) at the then-current rate unless canceled before renewal. We may adjust prices; we provide reasonable notice of material increases (e.g., via email or in-app).
• Taxes: You are responsible for all applicable taxes.
• No Refunds Policy: Except where required by law, Fees are non-refundable and non-prorated. No refunds for partial periods, non-use, or mid-cycle termination. Access continues through the paid period after cancellation.
• Late Payments: Overdue amounts may incur interest (lesser of 1.5% per month or legal maximum) and collection costs. We may suspend access.
• Free Trials/Promotions: Trials auto-convert unless canceled. Promotional pricing may not recur.
• Cancellation: Cancel anytime via account settings or support@manysq.com. Takes effect at end of current billing period; no early refunds.

6. Support

Support on a best-efforts basis only (via email, chat, docs, etc.). No guarantees on availability, response time, or resolution.

7. Termination and Account Deletion

You may terminate anytime. We may terminate/suspend for any reason. Upon termination: access ends (or at period end for paid subs), account is soft-deleted (see Section 3), and you may request final data export.

8. "AS IS" and "AS AVAILABLE" Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND (EXPRESS OR IMPLIED), INCLUDING MERCHANTABILITY, FITNESS, NON-INFRINGEMENT, ACCURACY, OR UNINTERRUPTED OPERATION. WE DISCLAIM ALL TO THE MAXIMUM EXTENT PERMITTED BY LAW.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, WE (AND AFFILIATES, ETC.) ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING DATA LOSS, PROFITS), EVEN IF ADVISED. TOTAL LIABILITY LIMITED TO GREATER OF (i) AMOUNTS PAID IN PRIOR 12 MONTHS OR (ii) $100 USD. Some jurisdictions limit exclusions; apply to extent permitted.

10. Indemnification

You indemnify and hold us harmless from claims arising from your use, User Data, or Terms violation.

11. Governing Law and Dispute Resolution

Governed by laws of the State of Texas, without regard to conflict-of-laws rules. Disputes resolved exclusively in courts located in Travis County, Texas (Austin).

12. Changes to These Terms

We may update Terms. Material changes notified (email/in-app). Continued use = acceptance.

13. Miscellaneous

• Entire agreement.
• Invalid provisions severable.
• We may assign; you may not.
• No waiver of breach waives others.
